AI Character Disclaimer

1. What Are AI Characters on Suony?

AI characters on Suony are automated conversational personas powered by third-party large language models (LLMs). Each character has an associated ERC-20 token on a bonding curve smart contract deployed on the Base blockchain. Tokens are burned (permanently destroyed) when users send chat messages to characters.

Suony provides the interface for creating characters, trading their tokens, and chatting with them. Suony does not create, endorse, verify, or control any individual character or its associated token.

2. AI-Generated Content

AI character responses are generated by third-party AI models based on user-created personality descriptions. You acknowledge and agree that:

  • AI outputs are not reviewed, verified, or approved by Suony before delivery
  • AI characters may produce inaccurate, misleading, biased, offensive, or harmful content
  • AI characters may hallucinate facts, statistics, prices, or other data
  • AI responses do not constitute financial advice, investment advice, legal advice, medical advice, tax advice, or any form of professional advice
  • Suony is not responsible for any decisions, actions, or losses resulting from AI character interactions
  • AI characters labeled as "financial" or "crypto" personas are entertainment only and should never be relied upon for actual financial decisions

3. User-Created Characters

Characters are created by users of the Platform, not by Suony. Character creators are solely responsible for:

  • The character's name, description, avatar, and personality
  • Ensuring the character does not violate any laws, rights, or third-party intellectual property
  • Ensuring the character does not impersonate real individuals without authorization
  • Compliance with all applicable regulations regarding the character's token

Suony reserves the right to remove characters that violate our Terms of Use, but is under no obligation to proactively monitor or review character content.

4. Tokens Are Utility Tokens — Not Securities

Tokens associated with AI characters are utility tokens that provide access to AI chat features on the Platform. Users get 3 free messages per day with each character. After that, tokens worth approximately $0.05 are permanently burned (destroyed) for each message sent. This is the sole intended purpose of these tokens.

Tokens are NOT securities, investment contracts, shares, equity, bonds, derivatives, or any form of financial instrument. Specifically:

  • Tokens do not represent ownership in any entity, project, or enterprise
  • Tokens do not entitle holders to dividends, revenue share, or any distribution of profits
  • Token prices are determined solely and automatically by the bonding curve smart contract's mathematical supply/demand formula — no person or entity sets, influences, or manages token prices
  • No expectation of profit should be derived from purchasing tokens
  • Suony does not promote, recommend, endorse, or suggest the purchase of any specific character's token
  • Character listing order on the Platform is determined purely by algorithmic sorting (trading volume, recency) and does not constitute a recommendation

You should only acquire tokens if you wish to use the associated AI character's chat features. Token values can decrease to zero. Past performance does not indicate future results.

5. Bonding Curve Risks

  • Price volatility: Token prices can change rapidly and dramatically
  • Liquidity risk: You may not be able to sell tokens at desired prices, especially for low-volume characters
  • Slippage: Actual execution prices may differ from displayed prices
  • Front-running: Other users or bots may execute transactions ahead of yours
  • Smart contract risk: Bugs or exploits in smart contracts could result in total loss of funds
  • Total loss: You may lose the entire value of tokens purchased
  • Token burn risk: Tokens used for messaging are permanently destroyed and cannot be recovered. The burn does not reduce token price on the bonding curve.

6. Creator Royalty Risks

Character creators receive a creator royalty from trading fees as compensation for creating and maintaining their AI character. This mechanism:

  • Does not guarantee any income to the creator
  • Is a royalty for the creator's work in building and maintaining the AI character, not a dividend or profit distribution
  • May incentivize creators to promote their characters in misleading ways
  • Does not create any fiduciary relationship between the creator and token holders
  • May cease if trading volume decreases to zero

7. AI Model Dependencies

AI characters rely on third-party AI model providers. You acknowledge that:

  • AI model providers may change, discontinue, or modify their services at any time
  • Character behavior may change if the underlying AI model is updated
  • Service interruptions may prevent characters from responding
  • Suony may change the underlying AI model provider without notice
  • We do not guarantee uptime, availability, or consistency of AI character responses

8. No Fiduciary Relationship

No fiduciary, advisory, or trust relationship exists between Suony and any user, between character creators and token holders, or between AI characters and users. All interactions are at arm's length and at your own risk.

9. Regulatory Uncertainty

The regulatory status of AI characters, associated tokens, and bonding curve mechanisms is uncertain and evolving. Applicable laws and regulations may change, potentially affecting the legality, availability, or functionality of the Platform in certain jurisdictions. Suony is not responsible for regulatory changes that affect your use of the Platform.

10. No Guarantees

SUONY MAKES NO GUARANTEES REGARDING:

  • The accuracy, quality, or safety of AI character outputs
  • The value, liquidity, or performance of any token
  • The continued availability of any character or the Platform
  • The security of smart contracts against exploits
  • Any revenue or returns from creator fees or token holdings

11. No Promotion or Recommendation

Suony does not promote, recommend, feature, or endorse any specific character or token. All character listings, sorting, and rankings on the Platform are determined purely by algorithmic criteria (such as usage volume, creation time, or popularity) and do not constitute investment advice, endorsement, or recommendation. The appearance of any character on the Platform does not indicate approval or quality assessment by Suony.

12. Jurisdictional Restrictions

The Platform is not available to US Persons (citizens, residents, or persons located in the United States). By using the Platform, you confirm that you are not a US Person and that you are accessing the Platform from a jurisdiction where such use is permitted. 13. Acknowledgment

By using the Platform to create characters, trade tokens, or chat with AI characters, you acknowledge that you have read and understood this Disclaimer, accept full responsibility for all risks described herein, and have conducted your own independent due diligence. You agree that Suony shall not be held liable for any losses, damages, or harms arising from your use of AI characters or their associated tokens.
